General Terms and Conditions of CETRAC GmbH
For business owners
As at February 2019
1. Geltungsbereich
5 Delivery or collection of the goods
5.1 The goods must be collected by the customer from the warehouse (Diezmannstr. 13.04207 Leipzig), unless delivery has been agreed. Separately itemised delivery charges apply, which are calculated on the basis of the content and scope of the order. The date for delivery or collection of the goods shall be agreed on a case-by-case basis.
5.2 If the customer is required to collect the goods from the warehouse, they must ensure that the goods are collected on time; otherwise, CETRAC may claim the costs of further storage as well as any damages resulting from the delayed collection.
5.3 If it has been agreed with the customer that the goods are to be delivered, the goods shall be delivered to the address specified by the customer following prior arrangement of a delivery date, unless otherwise agreed. Compliance with the delivery date is subject to CETRAC itself being duly supplied, provided that, at the time the contract is concluded with the customer, CETRAC has entered into a corresponding covering transaction with its supplier. If an incorrect or delayed delivery by cetrac’s supplier results in the delivery date agreed with the customer being exceeded by more than 6 weeks, CETRAC may withdraw from the contract, unless the customer declares to CETRAC in response to a request to that effect that they wish to maintain the contract. CETRAC shall inform the customer immediately of the unavailability and shall refund any consideration already paid without delay. Cases of force majeure – in particular operational disruptions, delays in the delivery of essential raw materials, consumables and supplies, strikes and lockouts – shall suspend CETRAC’s obligation to deliver for the duration of the disruption to the extent of its effect.
5.4 If it has been agreed with the customer that the goods are to be delivered, CETRAC shall be entitled to make partial deliveries provided that the partial delivery is usable by the customer for the purpose intended under the contract, the remaining delivery is guaranteed, and this does not result in any significant additional expense for the customer. The customer may refuse to accept partial deliveries if they have no legitimate interest in such a partial delivery.
5.5 Should force majeure – in particular operational disruptions, delays in the delivery of essential raw materials, consumables and supplies, strikes and lockouts – result in a definitive, permanent and irreparable impediment to performance, both parties shall be entitled to withdraw from the contract. Such a definitive, permanent and irreparable impediment to performance is generally deemed to exist where force majeure persists for a period of 6 weeks.
6. Warranty
6.1 The customer must fulfil their obligations under commercial law to inspect the goods and give notice of defects.
6.2 If the new goods are found to be defective, CETRAC shall, at its discretion, either remedy the defect or replace the goods supplied with new ones. CETRAC shall bear the costs necessary for subsequent performance, in particular transport, travel, labour and material costs, provided that these are not increased by the fact that the goods have been moved to a location other than the place of delivery. Should the rectification of the defect or the delivery of new goods fail, the customer may withdraw from the contract or reduce the price accordingly. It is generally reasonable to expect the customer to accept at least two attempts to rectify the defect. Withdrawal is excluded in the case of minor breaches of duty. Any further claims by the customer are excluded.
6.3 If second-hand goods are found to be defective, a warranty shall apply insofar as CETRAC was aware of the defect at the time the contract was concluded or was unaware of it as a result of gross negligence. Second-hand scaffolding is always subject to normal construction-related soiling. Dirt on used scaffolding parts does not constitute a defect.
6.4 Claims for defects become time-barred – except in the cases set out in § 438(1)(2) – within one year from the statutory commencement of the limitation period.
6.5 The customer may reasonably be expected to cooperate in the rectification of defects. Following consultation, the customer must ensure that the goods subject to complaint are made available and loaded.
7. Other liability
7.1 CETRAC shall be fully liable for any loss or damage suffered by the customer, regardless of the legal basis, arising from injury to life, limb or health.
7.2 CETRAC shall also be liable for any other damage resulting from an intentional or grossly negligent breach of contract. If, however, the damage results from simple negligence, CETRAC shall be liable in the event of a breach of a cardinal obligation (i.e. an obligation – at least in the context of the reciprocal relationship — the fulfilment of which is essential for the proper performance of the contract and on the observance of which the customer relies and is entitled to rely).
7.3 Any further liability is excluded. Liability under the Product Liability Act (ProdHaftG) as well as for fraudulent misrepresentation and/or guarantees remains unaffected.
8 Jurisdiction – Place of performance – Choice of law – Partial invalidity
8.1 The place of jurisdiction shall be CETRAC’s registered office, provided that the customer is a trader. However, CETRAC may also bring proceedings against the customer at the customer’s registered office.
8.2 The place of performance shall be CETRAC’s registered office, provided that the customer is a trader.
8.3 The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply exclusively; the application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
8.4 Should any provisions of these General Terms and Conditions be or become invalid or void, in whole or in part, this shall not affect the validity of the remaining provisions.

6. Warranty and Liability
6.1 If the new goods are found to be defective, CETRAC shall remedy the defect or, at the customer’s discretion, replace the goods supplied with new ones. CETRAC shall carry out this rectification within a reasonable period of time. It shall not do so if CETRAC is entitled to refuse rectification under the statutory provisions. Whilst rectification is being carried out, the customer may not withdraw from the contract or reduce the price on the grounds of the defect. Should the rectification of the defect or the delivery of new goods fail, the customer may withdraw from the contract or reduce the price accordingly. It is generally reasonable to expect the customer to allow at least two attempts to rectify the defect. CETRAC shall bear the costs necessary for rectification, in particular transport, travel, labour and material costs.
6.2 If second-hand goods are found to be defective, this warranty shall apply insofar as CETRAC was aware of the defect at the time the contract was concluded or was unaware of it as a result of gross negligence. 7.2 The law of the Federal Republic of Germany shall apply exclusively. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
7.3 Should any provisions of these General Terms and Conditions be or become invalid or void, in whole or in part, this shall not affect the validity of the remaining provisions.
